These Terms of Service govern access to and use of the RED BioMed business website, including its professional-access workflows, organization qualification, project intake, contact and verification tools, and controlled documentation.
Additional written agreements may apply to specific transactions, controlled documents, or partner relationships.
01Acceptance and Scope
By accessing or using the RED BioMed website, submitting information through it, or otherwise interacting with its services, the user agrees to these Terms of Service, subject to applicable law.
Separate written agreements may govern specific transactions, projects, controlled documentation, purchases, or partner relationships. Where a separately signed agreement conflicts with these public website terms for the same subject matter, the signed agreement controls for that subject matter.
02Business and Professional Use
The RED BioMed platform is designed for legitimate business and professional organizations, including peptide, healthcare, research, laboratory, distribution, manufacturing, and related organizations. The public website is not a consumer healthcare service and is not intended for direct-to-consumer transactions or clinical use.
03Accounts and Organization Information
Users who register an account or submit an application on behalf of an organization must:
- Provide accurate, current, and complete information.
- Maintain and protect account credentials.
- Act with appropriate authority for the identified organization.
Credential sharing, unauthorized organizational representation, and use of another person’s account without authorization are prohibited.
04Qualification and Access Decisions
RED BioMed may review, approve, restrict, condition, suspend, or deny access based on organization identity, credentials, intended use, destination market, submitted documentation, security considerations, legal requirements, or other relevant factors. Submission of an application or inquiry does not guarantee approval or continued access.
05Permitted Use
The site may be used for legitimate evaluation of RED BioMed services, submission of professional-access and organization-qualification applications, project inquiries, access to authorized documentation, and other business activity authorized in writing.
06Prohibited Use
Users must not:
- Submit false identity, credentials, or organizational representation.
- Access, or attempt to access, areas, accounts, or records not authorized to that user.
- Scrape, bulk-extract, mirror, or systematically collect content or records from the site.
- Conduct security testing, probing, or vulnerability research without prior written authorization.
- Reverse-engineer, decompile, or disassemble the site or its software, except to the extent that applicable law prohibits such restriction.
- Circumvent, or attempt to circumvent, access controls, professional-access verification, or other technical safeguards.
- Upload malware, malicious code, or files intended to disrupt or compromise the site.
- Misuse controlled or confidential documents, including unauthorized reproduction or redistribution.
- Submit patient medical records or other patient-identifiable information through inappropriate workflows.
- Use the site for illegal, misleading, infringing, or fraudulent activity.
- Resell or redistribute controlled information without authorization.
07Product, Project, and Service Availability
Information published on the site does not constitute a binding offer. Product and service availability, specifications, pricing, quantities, timelines, documentation, partner participation, destination-market permissions, and commercial terms remain subject to review by RED BioMed and to applicable written agreements.
08Partner-Enabled Services
Manufacturing, testing, development, packaging, logistics, and other capabilities may be performed by independent or selected partner organizations coordinated through RED BioMed. RED BioMed does not represent that every capability displayed on the site is directly owned or performed by RED BioMed.
09Regulatory and Market Responsibility
Users and transaction parties remain responsible for evaluating and complying with applicable laws and requirements relating to intended use, professional authority, import and export roles, registrations, permits, labeling, distribution, and destination-market obligations. Nothing in these terms is intended to transfer or allocate responsibility in a manner prohibited by applicable law.
10Intellectual Property
Site branding, layout, original content, databases, software, and RED BioMed documentation are protected under applicable intellectual-property laws. Third-party marks, product names, and materials referenced on the site remain the property of their respective owners. RED BioMed does not claim ownership of third-party laboratory reports, manufacturer records, or partner documentation.
11Confidential and Controlled Information
Product-specific, manufacturer, pricing, technical, laboratory, batch, and project information available through controlled areas of the site may be confidential or access-controlled. Access does not grant unrestricted rights of reproduction, distribution, publication, or sublicense.
12Third-Party Services and Links
The site may reference or link to third-party platforms, partner services, or external resources. Those services and resources are governed by their own terms and privacy practices, for which RED BioMed is not responsible.
13Disclaimers
To the extent permitted by applicable law, the site and its content are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. RED BioMed does not warrant that the site will be error-free, uninterrupted, or suitable for a particular purpose. See the Website and Medical Disclaimer for additional limitations concerning products, regulatory records, and professional use.
14Limitation of Liability
To the maximum extent permitted by applicable law, RED BioMed and its affiliates, officers, employees, agents, and partners are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, business, or goodwill, arising out of or related to the use of the site. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
15Indemnification
Users agree to defend, indemnify, and hold harmless RED BioMed and its affiliates from claims, damages, liabilities, and expenses arising out of misuse of the site, false or misleading submissions, unauthorized activity, infringement of third-party rights, or violation of applicable requirements, subject to applicable law.
16Suspension and Termination
RED BioMed may restrict, suspend, or terminate access at any time for security reasons, false or misleading information, policy violations, legal concerns, or discontinuation of a service or business activity.
17Governing Law and Disputes
The governing law, forum, and dispute-resolution terms applicable to a particular commercial relationship may be established in the relevant agreement. Website-wide governing-law and dispute-resolution provisions require confirmation by RED BioMed and legal counsel and will be updated on this page when finalized.
18Changes to Terms
These terms may be revised from time to time. When material changes are published, the “Last updated” date at the top of this page will be revised.
